Derivatives Documentation Specialist - Rabobank - New York, NY

Your Function:
The New York Branch Legal Department covers the Bank’s Markets business in the Americas providing the necessary documentation for derivatives, securities lending and repo transactions. The Job Holder will form part of a three-member team headed by an attorney in the New York Branch Legal Department.


Key Responsibilities and Accountabilities:
Prepare and negotiate derivatives documentation (e.g. ISDA Master Agreement and Credit Support Annex) for corporate customers, banks and other financial institutions. Prepare and negotiate Master Securities Loan Agreements, Repurchase Agreements, Tri-Party Custodial Agreements, Participation Agreements, and Guarantees, for all Markets derivatives products.


Work with internal and external counsel to develop and maintain standard documentation.


Advise other Rabobank Centres of Competence with respect to derivatives-related issues, including Title VII of Dodd-Frank Act and regulations thereunder.


Advise Markets front office, middle office and operations, relationship managers, credit officers, collateral management and tax officers on derivatives documentation. Provide guidance on documentation implementation, policy and changes and updates in industry practice.


Anticipate and identify key issues and clearly and efficiently communicate to credit officers and marketers to permit execution of transactions while at the same time protecting the Bank.


Candidates with a JD may have an opportunity to advise Rabo Securities USA, Inc., the registered broker-dealer, on securities offering, private placement transactions and other broker-dealer transactions.


Your Profile:
Qualifications:
Minimum 3 years derivative products documentation experience with continued education through ISDA and other industry groups, training in negotiation and legal issues applicable to derivative products documentation.


Desirable: JD


Job Skills and Knowledge:
A thorough understanding of the bank’s Markets Business and derivative products as well as experience with transaction documentation and documentation standards produced by ISDA and SIFMA


Ability to anticipate and identify key issues and clearly and efficiently explain and communicate to credit officers and marketers to permit execution of transactions while at the same time protecting the Bank.


Independently negotiate derivatives documentation and efficiently report and track documentation.


Desirable: Experience with capital markets and broker-dealer regulation (Securities Act of 1933, as amended, FINRA regulations)
