TERMS OF REFERENCE
Background
The Inter-American Investment Corporation (IIC), a member of the Inter-American Development Bank (IDB) Group, is a multilateral organization based in Washington, D.C., that is committed to the development of Latin America and the Caribbean through the private sector.
The Boards of Governors of the Inter-American Development Bank (“IDB”) and the Inter-American Investment Corporation (“IIC”, together with the IDB, the Inter-American Development Bank Group (“IDBG”)) approved the consolidation of the IDBG’s private sector and non-sovereign guaranteed operations into the IIC, starting as of January 1, 2016. The purpose of the consolidation is to further promote the economic and social development of the regional developing member countries through the private sector, as a complement to the development work of the IDB. Under its expanded mandate, the IIC is searching for a Contractual Attorney for the Legal Services Department,
which provides a full range of legal support to IIC private sector and non-sovereign guaranteed operations throughout the entire transaction cycle, including origination, portfolio management and workouts.
Consultancy objective
A
dvise IIC management and staff in respect of IIC private sector and NSG lending and equity operations and products, and participate in the due diligence, structuring, negotiating, drafting, closing, administration and workouts of private sector and NSG financing operations.
Main activities
Provide legal advice, and be part of project teams, in private sector and NSG loan and guarantee transactions for the IIC, including in relation to origination, eligibility, due diligence, structuring, drafting, negotiation of financing documentation and technical cooperation, financial closing and disbursement.
Advice and work on portfolio administration matters, including restructurings and troubled loan situations.
Participate in the selection of external counsel and coordinate the work of counsel in a cost-effective manner.
Participate in presentations to internal committees and the IIC Board of Executive Directors.
Provide legal advice on all IIC policies, procedures and product development related to IIC’s lending, guarantee and equity operations.
Support Legal Services Department staff in the above activities and in the drafting and review of draft documents related thereto.
Provide support to the knowledge management function of the Legal Services Department in the implementation of its action plan.
Qualifications
Academic Degree/ Level & Years of Professional Work Experience:
Master’s degree in law or related fields. Juris Doctor, LL.B. or equivalent is desirable. At least five years of relevant experience.
Languages:
Oral and written proficiency in English is required. Proficiency in a second official Bank language (Spanish, French and/or Portuguese) is required.

Contractual category and modality:
Defined Term Contractual, Monthly.
Contract duration:
19 months renewable up to 48 months.
Place(s) of work:
Headquarters, Washington DC, U.S.A. and/or Argentina COFs.
Responsible person:
Legal Principal Counsel-Operations.
Payment and Conditions:
Compensation will be determined in accordance with IIC’s policies and procedures. The IIC, pursuant to applicable policies, may contribute toward travel and moving expenses. In addition, candidates must be citizens of a Corporation member country.
Visa and Work Permit:
The IIC, pursuant to applicable policies, may submit a visa request to the applicable immigration authorities; however, the granting of the visa is at the discretion of the immigration authorities. Notwithstanding, it is the responsibility of the candidate to obtain the necessary visa or work permits required by the authorities of the country (ies) in which the services will be rendered to the IIC. If a candidate cannot obtain a visa or work permit to render services to the IIC the contractual offer will be rescinded.
Consanguinity:
Pursuant to applicable IIC policy, candidates with relatives (including the fourth degree of consanguinity and the second degree of affinity, including spouse) working for the IIC as staff members or Complementary Workforce contractuals, will not be eligible to provide services for the IIC.
